A fantastic and rare opportunity has arisen for a Company Secretary to lead a corporate governance function and provide authoritative advice to the Board, President, and CEO of an influential professional body in the medical industry.
The Opportunity
This is a critical role within a high-profile group of entities, ensuring statutory compliance while fostering a culture of best-practice corporate behaviour. This role offers the unique challenge of managing complex member-based governance alongside traditional corporate requirements.
Key Responsibilities:
- Board & Council Leadership: Manage the end-to-end governance lifecycle for the Board, Council, and subsidiary entities, including meeting coordination, high-level minute taking, and paper preparation.
- Statutory Compliance: Act as the primary authority on the Corporations Act, ACNC requirements, and internal constitutions, ensuring all lodgements and registers are compliant.
- Strategic Advice: Serve as a trusted advisor to the Board and CEO on governance trends, risk management and constitutional matters.
- Member Engagement: Oversee the integrity of election processes and lead digital initiatives to increase engagement within the Policy Council via online community platforms.
- Risk & Insurance: Manage the group's insurance portfolio and ensure robust risk mitigation strategies are in place.
What We Are Looking For:
- Governance Institute of Australia qualification (Graduate Diploma in Applied Corporate Governance or equivalent).
- Previous experience (ideally 5+ years) in a governance or company secretarial role ideally within a membership-based organisation
- Knowledge of the Corporations Act and experience supporting Boards and member-based governance structures
- Be comfortable managing the full suite of governance administration, from high-level strategy to detailed minute-taking
- Expert navigation of complex political environments and ability to build rapport with high-achieving professionals and C-suite executives
- Flexibility with occasional after hours commitments; most board meetings are held after hours and time in lieu is granted accordingly
